THE MERGER OF SRV HENKILÖSTÖ OY INTO SRV GROUP PLC HAS BEEN EXECUTED
The merger of SRV Henkilöstö Oy (”Henkilöstö”) into SRV Group Plc (”SRV”) has
been executed today. SRV has issued a total of 10.216.468 new shares in SRV
without increasing SRV's share capital as merger consideration to the
shareholders in Henkilöstö in relation to their shareholdings in Henkilöstö. In
the merger SRV has come to hold the 12.512.000 shares in SRV previously held by
Henkilöstö. SRV has today made a decision to cancel these shares and is filing
the cancellation with the Finnish Trade Register.
The registered share capital of SRV is 3.062.520 euro and will be divided, after
the merger and the registration of the decision to cancel the shares referred to
above, into 36.768.468 shares.
The Finnish Financial Supervision Authority has on May 24, 2007 approved a
prospectus related to the merger pursuant to the Finnish Securities Markets Act
(495/1989), and on September 26, 2007 granted an exemption from the obligation
to publish a prospectus in connection with the listing of the new shares. The
prospectus dated May 24, 2007, and the SRV stock exchange releases published
thereafter, as well as the corporate decisions of SRV and Henkilöstö, that may
be significant with respect to the value of the shares of SRV, are available for
review at the offices of SRV (Niittytaival 13, Espoo, Finland) and at the
OMX-Way service center at OMX Nordic Exchange Helsinki Ltd. On September 26,
2007, OMX Nordic Exchange Helsinki Ltd. has issued its decision to list the new
shares on the Official List on October 1, 2007, provided that new shares are
registered in the Finnish Trade Register on September 28, 2007.
